These Terms of Use ("Terms") govern your access to and use of all products and services, including websites, web extensions, software, and data (collectively the "Services") provided by Doda ("Doda," "us," "we," and "our"). By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

You must be at least 18 years old to use the Services. If you do not agree with these Terms, you must not use the Services.

We may update these Terms from time to time by posting a revised version on this page. The "Last Updated" date above indicates when the Terms were last changed. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

1. Access and Use of the Services

1.1 License to Use

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable, limited right to access and use the Services for your personal use. Access to the Services requires a Doda account and is provided on a credit-based, pay-per-use model. There is no subscription.

You acknowledge that the Services may be periodically unavailable due to: (i) planned maintenance, and (ii) circumstances beyond our reasonable control pursuant to Section 10.4 (Force Majeure). We reserve the right to make changes to the Services at any time.

1.2 Your Responsibilities

You acknowledge and agree that:

You will keep your account credentials secure and not share them with others;
You will comply with these Terms and all applicable laws, rules, and regulations;
You are responsible for all activity that occurs under your account;
You will promptly notify us of any unauthorized use of your account.

1.3 Prohibited Use

You agree that you will not:

Share your account login credentials or make any portion of the Services available to third parties;
Interfere with or disrupt the integrity or performance of the Services;
Reverse engineer, decompile, disassemble, copy, or otherwise attempt to derive the source code of any software making up the Services;
Use any robot, spider, crawler, scraper, or other automated means not provided by us to access the Services or extract data;
Access the Services in order to build a competitive product or service;
Use the Services in violation of any applicable laws;
Use the Services to stalk, threaten, harass, or harm another individual, or in any way that is misleading, unlawful, defamatory, obscene, invasive, threatening, or otherwise objectionable;
Submit false, misleading, or fraudulent information through the Services, including fabricated qualifications or work experience;
Create multiple accounts to abuse free credits or promotional offers.

If you engage in any prohibited use, your access to the Services may be terminated or suspended at our discretion. Doda shall also have the right to pursue any damages or injunctive relief it may be entitled to under law.

1.4 Free Credits

If you receive free credits upon signing up or through a promotion, you acknowledge that we may revoke or modify free credit offers at any time without prior notice. Free credits are provided as-is with no guarantee of continued availability. You will have no claim or remedy for the revocation of free credits.

2. Credits and Payment

2.1 Credits

The Services operate on a credit-based model. Credits are purchased in packs and are used to access specific features of the Services. Credits do not expire while your account remains active and the Services are available.

We reserve the right to modify the number of credits required for any Service feature at any time. Previously purchased credits remain valid but are subject to the then-current credit cost at the time of use. We will provide reasonable notice of material changes to credit costs.

Credits have no cash value and cannot be exchanged, transferred, or redeemed for cash. All credit purchases are final and non-refundable. Initiating a payment dispute or chargeback for a legitimate credit purchase may result in immediate account termination.

2.2 Payment

Credit purchases are processed through our third-party payment processor. You represent and warrant that the payment information you provide is accurate and that you are authorized to use the payment method. You are responsible for keeping your payment information up to date.

2.3 Taxes

You are responsible for any applicable taxes, including sales, use, levies, duties, value-added, or similar taxes assessed by any jurisdiction. Unless expressly specified otherwise, all prices exclude taxes.

3. AI-Generated Content

3.1 AI Services

The Services use artificial intelligence, including large language models (LLMs), to generate and modify content ("AI Output"). You may submit data to the AI features ("Input") and receive AI Output.

Doda may use Inputs and AI Output to improve the Services, but only if such data has been (a) de-identified so that it does not identify you or any other person, and (b) aggregated with data across other users.

Doda retains all intellectual property rights in the AI Output and grants to you a non-exclusive, worldwide, perpetual right and license to reproduce, distribute, publicly display, publicly perform, and prepare derivative works of AI Output for your personal use.

3.2 AI Output Disclaimer

The Services use artificial intelligence to generate content. AI-generated output may contain inaccuracies, errors, or content that does not reflect your actual qualifications. You are solely responsible for reviewing, editing, and verifying all AI-generated content before submitting it to any employer or third party. Doda does not guarantee the accuracy, completeness, or suitability of any AI-generated content.

3.3 No Employment Guarantees

Doda does not guarantee any employment outcomes, including but not limited to job interviews, job offers, or career advancement. The Services are tools to assist you; results depend on many factors outside our control.

3.4 Third-Party AI Processing

The Services use third-party artificial intelligence providers (including Anthropic) to process your data and generate content. By using the Services, you consent to your data being transmitted to and processed by these third-party providers in accordance with their respective terms and privacy policies.

4. Termination

4.1 Termination by You

You may delete your account at any time through the Account page in the extension. Account deletion is permanent and irreversible. Upon deletion, all your data including your profile, resumes, tailoring history, cover letters, and remaining credits are permanently destroyed. Doda cannot recover deleted data.

4.2 Termination by Doda

We may suspend or terminate your access to the Services immediately if you: (a) breach these Terms; (b) engage in prohibited use as described in Section 1.3; or (c) if we reasonably believe your account is being used fraudulently. We will have no liability to you for any period of suspension or termination.

4.3 Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. No refunds or credits will be provided upon termination. Sections 2.1 (Credits), 5 (Intellectual Property), 6 (Confidentiality and Privacy), 7 (Warranties and Disclaimers), 8 (Indemnification), 9 (Limitation of Liability), and 10 (General Provisions) shall survive termination.

5. Intellectual Property

5.1 Our Intellectual Property

You acknowledge and agree that all rights, title, and interest in and to the Services, including all software, data, and other components, are owned by Doda. These Terms do not grant you any right, title, or interest except for the limited use rights expressly granted in Section 1.1.

5.2 Feedback

You may provide us with suggestions, comments, ideas, or other feedback ("Feedback"). You grant to us a worldwide, irrevocable, perpetual, royalty-free license to use, reproduce, adapt, publish, translate, communicate, display, and distribute your Feedback for the purposes of operating or improving the Services.

6. Confidentiality and Privacy

6.1 Confidentiality

Each party will protect the other's confidential information from unauthorized use, access, or disclosure with no less than reasonable care. Confidential information does not include information that: (a) is or becomes publicly known without fault of the receiving party; (b) was already in the receiving party's possession; or (c) is independently developed without reference to the confidential information. This obligation survives termination of these Terms.

6.2 Privacy

By using the Services, you consent to data collection and processing by Doda in accordance with our Privacy Policy.

6.3 Usage Data

Doda may collect, use, and analyze general usage and performance data in an aggregated manner for the purpose of improving the Services, research, marketing, or publishing statistics, provided that we will not specifically identify you. We own all rights to such aggregated usage data.

7. Warranties and Disclaimers

7.1 Warranties

You represent and warrant that you will use the Services in compliance with all applicable laws, regulations, and third-party rights. We represent and warrant that we will provide the Services in a professional manner consistent with recognized industry standards.

7.2 Disclaimer

DODA PROVIDES THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND TO THE FULLEST EXTENT PERMITTED BY LAW. WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT DODA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Doda, its officers, directors, employees, and agents from and against any and all third-party claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from: (a) your access to and use of the Services in breach of these Terms; and (b) your use of AI-generated content, including any claims arising from content you submit to employers or third parties.

This section will survive the termination of these Terms.

9. Limitation of Liability

IN NO EVENT WILL DODA OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTIES FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES HOWEVER CAUSED, INCLUDING LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER IN CONTRACT OR TORT (INCLUDING NEGLIGENCE) AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF DODA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DODA'S AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DODA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. General Provisions

10.1 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, both parties agree to first attempt to resolve the dispute through good-faith negotiation. To begin this process, contact us at support@yodadoda.com. If the parties cannot reach a resolution within thirty (30) days, either party may initiate binding arbitration.

10.2 Arbitration

You and Doda agree that any dispute arising out of or relating to these Terms will be settled by binding arbitration, not in a court of law. The arbitration will be conducted by the ADR Institute of Canada ("ADRIC") under its rules. Arbitration shall be conducted by one arbitrator. The arbitrator's award shall be final and binding. Each party shall be responsible for their own arbitration fees and costs. Arbitration shall take place in Toronto, Ontario, Canada.

10.3 Class Action Waiver

You agree that any proceedings to resolve any dispute shall be conducted solely on an individual basis. You waive your right to participate in a class action, representative action, collective action, or private attorney general action.

10.4 Force Majeure

Except for payment obligations, neither party shall be liable for any delay or failure in performance caused by circumstances beyond the party's reasonable control, including natural disasters, acts of war or terrorism, riots, governmental actions, or Internet disturbances.

10.5 Governing Law

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without reference to conflict of laws principles. Either party may seek interim or preliminary injunctive relief from a court of competent jurisdiction in Toronto, Ontario. You and Doda submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

10.6 Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written approval, except in connection with a merger, acquisition, or sale of substantially all of your assets.

10.7 Severability

If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full effect.

10.8 Non-Waiver

No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right.

10.9 Entire Agreement

These Terms constitute the entire agreement between you and Doda with respect to the Services and supersede all previous or contemporaneous agreements, whether written or oral.

10.10 Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you for any modification, suspension, or discontinuation of the Services.

10.11 Export Controls

You are responsible for complying with all applicable Canadian export controls and international trade sanctions, and for any violation of such controls. You represent that you are not located in, or a national of, any country subject to Canadian trade sanctions, and that you are not on any Canadian or international restricted end-user list.
